1. Acceptance of Terms

By downloading, installing, or using the Naya mobile application ("Naya" or the "App") developed by Nitrotech Inc., a Delaware corporation ("Nitrotech," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

Naya does not provide medical advice, diagnosis, or treatment. The App is intended for informational and wellness tracking purposes only. Cycle predictions, fertile window estimates, and AI-generated health advice are approximations and should not be relied upon for medical decisions, contraception, or fertility planning.

Always consult a qualified healthcare provider for medical advice, diagnosis, or treatment. Never disregard professional medical advice or delay seeking it because of information provided by Naya.

4. Eligibility

You must be at least 13 years old (or 16 in certain jurisdictions) to use Naya. By using the App, you represent that you meet this age requirement. If you are under the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Naya can be used without creating an account. If you choose to create an account via Apple Sign-In or Google Sign-In, you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You may delete your account at any time through the App's Profile settings. Account deletion permanently removes all associated data from our servers and cannot be undone.

6. Subscriptions & Payments

6.1 Naya Plus

Naya Plus is an optional premium subscription that unlocks the AI Health Assistant. Available plans:

Prices may vary by region and are set by Apple App Store and Google Play Store. All prices are shown in your local currency at the time of purchase.

6.2 Billing & Renewal

Subscriptions are billed through Apple App Store or Google Play Store. Monthly and yearly subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period. You can manage and cancel subscriptions through your device's subscription settings.

6.3 Free Trials

The yearly plan includes a 7-day free trial. If you cancel during the trial period, you will not be charged. If you do not cancel, the subscription will begin at the end of the trial period.

6.4 Refunds

Refunds are handled by Apple or Google according to their respective refund policies. Nitrotech does not process payments directly and cannot issue refunds. Contact Apple Support or Google Play Support for refund requests.

The Naya app, including its design, code, mascot, branding, and content, is owned by Nitrotech Inc. and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.

9. User-Generated Content

Any data you enter into Naya (health logs, notes, etc.) remains your property. By using Cloud Sync, you grant Nitrotech a limited license to store and transmit this data solely for the purpose of providing the sync service. We do not access, analyze, or use your personal health data for any other purpose.

Your privacy is important to us. Please review our Privacy Policy, which describes how we collect, use, and protect your information. By using Naya, you agree to the terms of our Privacy Policy.

11. Disclaimer of Warranties

NAYA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

Cycle predictions, fertile window estimates, and AI-generated advice are approximations based on the data you provide and general health models. Accuracy is not guaranteed.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NITROTECH INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF NAYA, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, INACCURATE PREDICTIONS, OR RELIANCE ON AI-GENERATED ADVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO NAYA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Nitrotech Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

14. Termination

We reserve the right to suspend or terminate your access to Naya at any time, with or without cause, and with or without notice. Upon termination, your right to use the App ceases immediately. Provisions that by their nature should survive termination will survive.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the App or by updating the "Last Updated" date. Your continued use of Naya after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nitrotech Inc. regarding your use of Naya.
